ONYX Membership Agreement WE ENCOURAGE YOU TO REVIEW THIS AGREEMENT IN ITS ENTIRETY.

This Member Agreement ("Agreement") is between ONYX Management LLC ("ONYX") and the undersigned applicant ("You"). By signing this Agreement, you represent and warrant that you are eighteen (18) years of age or older, and in the event you are less than eighteen (18) years of age, you must have a parent or guardian co-sign this Agreement.

THIS AGREEMENT CONTAINS A BINDING, INDIVIDUAL ARBITRATION AND CLASS ACTION WAIVER PROVISION. IF YOU ACCEPT THIS AGREEMENT, YOU AND ONYX AGREE TO RESOLVE DISPUTES IN BINDING, INDIVIDUAL ARBITRATION. THIS MEANS YOU AND WE ARE GIVING UP THE RIGHT TO GO TO COURT INDIVIDUALLY OR AS PART OF A CLASS ACTION, AND TO HAVE DISPUTES BETWEEN US RESOLVED BY A JUDGE OR JURY.


1. Recurring Membership and Billing:

Your ONYX Membership is a monthly recurring membership that automatically renews on the same calendar date each month (“Billing Date”). Your membership begins on the date of purchase and renews on the Billing Date each subsequent month until canceled in accordance with this agreement.

If a membership payment is declined or otherwise fails, you will be notified and provided the opportunity to update your payment method. If the outstanding balance is not paid in full within thirty (30) days of the original due date, ONYX reserves the right to suspend membership privileges and refer the unpaid balance to a third-party collections agency. You will be responsible for any and all costs of collection, including reasonable attorney’s fees, to the fullest extent permitted by law.

 

2. Cooling Off  Period:

The Cooling-Off Period applies only to new memberships. New members may cancel their membership within three (3) days from the date of purchase. ONYX will issue a refund, less any set-up fees and the value of any promotional items provided at the time of enrollment.

Notice of cancellation must be made in writing and delivered to ONYX by email, in person, or by certified or registered mail. All refunds to which the member (or the member’s estate) is entitled will be processed and issued within thirty (30) days of ONYX’s receipt of the cancellation notice.

 

3. Minimum Age

The minimum age for training is 16. Members and their guests under the age of 18 must provide written consent from a parent or legal guardian.

4. Member Health

Member represents and warrants that they have no disability, impairment, or ailment that would prevent them from safely engaging in active or passive exercise. Members are strongly encouraged to consult with a physician before beginning any exercise program.

If management determines that a member’s usage is excessive or otherwise raises concerns, ONYX may require the member to provide a physician’s note confirming their ability to participate safely.

Member understands that ONYX coaches cannot provide medical advice and agrees that no coach, representative, or director of ONYX shall be liable for any injury, illness, or condition sustained as a result of participation in ONYX programs or activities.

 

5. Member Responsibilities

Members are responsible for ensuring the following:

  1. Sufficient Funds – The credit card or bank account on file must have sufficient funds available on the scheduled billing date.

  2. Account Changes – Any transfer, closure, or other change to the account on file must be reported to ONYX at least seventy-two (72) hours prior to the next billing date.

  3. Credit Card Updates – Any changes to the credit card on file, including expiration date, card number, or billing address, must be reported to ONYX at least seventy-two (72) hours prior to the next scheduled debit.

 

6. Failure to Pay

In the event a member’s payment is declined on the designated billing date, ONYX reserves the right to suspend the member’s access to all services and facilities until the outstanding balance is paid in full and updated account information is provided. ONYX may continue to attempt debits from the member’s account until the total amount owed is collected. Members are responsible for any fees, including bank or administrative fees, incurred as a result of a failed payment.

If a failed payment is not resolved within fourteen (14) days of the original billing date, the member will forfeit any promotional or discounted pricing originally offered and will revert to the most current publicly posted pricing for their respective membership type.

 

7. Changes to Fees, Terms and Conditions

ONYX reserves the right, in its sole discretion, to modify membership fees and/or monthly dues, with thirty (30) days’ prior notice to members. ONYX may also make reasonable changes to other fees, policies, studio hours, facilities, equipment, procedures, and operations as necessary to maintain or improve services.

 

8. Reservation Information

To participate in ONYX classes, you must reserve your spot in advance by creating an online member account and registering for your desired class. All modifications, cancellations, and adjustments to reservations must be made through your member account. We reserve the right to amend, update, or modify this cancellation policy at any time, with or without prior notice. It is the member’s responsibility to review the most current policies, which are available on our website at onyxpilates.com.

  1. Waitlist: If a class is full, you may add yourself to the waitlist. Should a spot become available prior to the class start time, you will receive an invitation to join the class. By accepting a waitlist invitation, you confirm that you are able and willing to attend the class. If you no longer wish to attend, you must remove yourself from the waitlist at least eight (8) hours before the class start time through your member account. Once you have accepted a waitlist invitation, our Class Cancellation Policy applies.

  2. Class Cancelation: Due to the limited number of spaces available, you may change or cancel your class reservation up to eight (8) hours before the scheduled start time. No refunds will be issued for canceled classes; however, the class credit will be returned to your account for future use, subject to its original expiration date.

  3. Late Cancelation: If you cancel within eight (8) hours of the scheduled start time, the class credit will be forfeited. For members on an unlimited package, Late cancellations (within eight (8) hours of class) will incur a $10 late cancellation fee. 

  4. No Show: Failure to cancel and failure to attend (no-show) will result in a $25 no-show fee in addition to forfeiting the class credit.

  5. Late arrivals: To ensure the best possible experience for all members, ONYX does not accommodate late arrivals due to the intimate and low-light environment of our studio. Classes begin promptly at the scheduled start time, and no grace period is provided. If a member arrives late or their reserved spot is reassigned, the class credit will be forfeited. No refunds will be issued for late arrivals.


9. Suspensions,  Cancelations, and Renewals:

The following rules apply to suspensions and cancellations of your membership agreement:

  1. Suspensions: ONYX offers all members a fourteen (14) day complimentary membership pause once annually. ONYX, at its sole discretion, may offer extended pauses for medical needs. Supporting documentation for extended pauses may be requested. 

  2. Cancelations: All memberships require a written notice of cancellation thirty (30) days prior to the requested cancellation date. Notice of cancellation must be made in writing and delivered to ONYX by email, in person, or by certified or registered mail.

  3. Month-to-Month Memberships: Monthly memberships automatically renew at the current publicly listed membership rate until canceled. Members may request cancellation without a fee after completing their first billing period, provided they submit written notice at least thirty (30) days prior to the desired cancellation date. All final payments will be processed at the time the cancellation request is submitted.

  4. Commit Six Membership: Commit Six Memberships require a minimum commitment of six (6) months, during which members are locked into their monthly rate for the full commitment period. At the end of this period, members may choose to renew at the then-current publicly posted commitment rate or convert to a month-to-month membership at the prevailing monthly rate.If a member wishes to cancel their Commit Six Membership before the start of their fifth (5th) month, an early termination penalty equal to one (1) month’s membership dues will be applied. All final payments and applicable penalties will be charged at the time the cancellation request is submitted.

  5. Commit Twelve Membership: Commit Twelve Memberships require a minimum commitment of twelve (12) months, during which members are locked into their monthly rate for the full commitment period. At the end of this period, members may choose to renew at the then-current publicly posted commitment rate or convert to a month-to-month membership at the prevailing monthly rate. If a member cancels their Commit Twelve Membership before the start of their sixth (6th) month, an early termination penalty equal to two (2) months’ membership dues will be applied. If a member cancels between their seventh (7th) month and the start of their eleventh (11th) month, an early termination penalty equal to one (1) month’s membership dues will be applied.

 

10. Use of Member Image:

By registering for and/or attending any ONYX class, event, or activity, the member grants ONYX and its representatives the irrevocable right and permission to photograph, film, or otherwise record the member’s likeness, voice, and/or performance. Such images, videos, and recordings may be used, reproduced, and published in any and all media formats, now known or hereafter developed, for promotional, marketing, advertising, educational, or other lawful purposes.

The member understands and agrees that they will not receive any compensation—monetary or otherwise—for the creation, use, or distribution of such images, videos, or recordings, and that all such materials are the exclusive property of ONYX. The member further waives any right to inspect or approve the finished product or its eventual use.

 

11. Policies, Schedules, and Substitutions

Member agrees to abide by all membership rules, studio policies, and procedures as established by ONYX, whether currently in effect or implemented in the future. ONYX reserves the right, in its sole discretion, to modify class schedules, substitute coaches, adjust programming, update policies, or make other reasonable changes to its operations and facilities as it deems necessary or appropriate.

Such changes shall not constitute a breach of this agreement, shall not entitle the member to terminate this agreement early, and shall not relieve the member of their obligations under this agreement. The member remains responsible for all applicable terms, conditions, and payment obligations for the duration of their membership.

 

12. Conduct

Members must conduct themselves in a respectful manner that does not disturb, disrupt, or impair the use and enjoyment of the studio by other members, guests, or staff. Foul, loud, abusive, or otherwise inappropriate language or behavior toward others will not be tolerated and may result in the member’s immediate removal from the premises and/or forfeiture of studio privileges, without any right to reimbursement or refund.13. Valuables and Personal Items

Lockers are provided solely for the benefit and convenience of members and may only be used during the member’s time in the studio. Management will remove any articles left in a locker overnight. All personal property stored in lockers or brought into the studio is kept at the sole risk of the owner.

ONYX is not responsible for any lost, stolen, damaged, or left-behind items, whether stored in lockers or elsewhere on the premises. The studio does not offer a lost and found service, and any items left behind will be discarded at ONYX’s sole discretion.

 

14. Dress Code

All members are expected to wear proper attire. No street clothes are permitted when working 

Arbitration Agreement and Class Action Waiver

 

This Arbitration Agreement and Class Action Waiver (“Agreement”) is a part of your ONYX Pass Agreement and applies to any dispute, claim, or controversy between you and ONYX Interactive Inc. (“ONYX”) arising out of or relating to your Pass, use of ONYX facilities, services, or this Agreement.

 

1. Agreement to Arbitrate

 

By entering into this Pass Agreement, you and ONYX agree to resolve any disputes exclusively through binding arbitration, rather than in court, except as set forth under the “Exceptions to Arbitration” section below. Arbitration will be conducted under the rules of the American Arbitration Association (“AAA”) or a similar neutral arbitration provider mutually agreed upon by both parties.

 

Scope of Arbitration:

This Agreement to arbitrate includes any disputes, claims, or controversies arising out of or relating to:

  • The Pass Agreement or your use of ONYX facilities or services.

  • Claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.

  • Disputes regarding the enforceability, validity, or interpretation of this Agreement, including this Arbitration Agreement and Class Action Waiver.

 

2. Class Action Waiver

 

You and ONYX agree that all disputes must be resolved on an individual basis. This means that:

  • No Class Arbitrations: You may not participate in a class, collective, or representative arbitration.

  • No Class Actions: You waive your right to bring or participate in a class action, private attorney general action, or other representative action against ONYX.

  • The arbitrator may award relief only on an individual basis and may not consolidate claims or award relief on behalf of others.

 

3. Exceptions to Arbitration

 

The following disputes are excluded from mandatory arbitration:

  • Small Claims Court: Claims that qualify to be brought in a small claims court with jurisdiction over the matter.

  • Injunctive Relief: Either party may seek temporary or preliminary injunctive relief in a court of law to preserve the status quo pending arbitration.

  • Government Actions: Actions seeking enforcement through government agencies if permitted by law.

  • Arbitration Award Enforcement: Actions to enforce or confirm an arbitration award.

 

4. Arbitration Procedures

 

  • Location and Rules: Arbitration will take place in the state and county where ONYX’s principal place of business is located, or another mutually agreed location. Arbitration will follow the rules of the AAA or other mutually agreed arbitration provider.

  • Costs: Each party will bear its own costs and expenses, including legal fees, unless otherwise required by law or agreed upon in arbitration. ONYX will cover the arbitrator’s fees and administrative costs to the extent required by law.

  • Arbitrator’s Authority: The arbitrator will have the authority to decide all issues related to the dispute, including enforceability of this Agreement, and to award any remedies available under applicable law.

 

5. Governing Law and Severability

 

This Arbitration Agreement is governed by the Federal Arbitration Act (FAA). If any part of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

 

6. Acknowledgment of Agreement

 

By using this website and purchasing any ONYX passes or memberships, you acknowledge and agree to the terms of this Pass Agreement. You understand and accept that disputes with ONYX will be resolved through binding arbitration and not in court. By agreeing to these terms, you waive your right to a jury trial and your right to participate in any class or collective action, except where otherwise stated in this Agreement.
